1. Use of Service
These Terms govern access to Z Genome Lab™ websites, ZGL OS, APIs, reports and associated modules. By using the service or accepting an order, you agree to these Terms and any signed order, license, pilot scope or institutional agreement. You may use the service only for lawful scientific, educational and research purposes within the entitlements assigned to your account.
Research use only. ZGL OS is not a medical device and does not provide clinical diagnosis, treatment, emergency advice or patient-care decisions. Outputs require independent scientific review and validation.
You must not bypass access controls, probe other accounts, introduce malicious code, scrape the service, misuse API keys, reverse engineer protected components, or resell or sublicense access without written authorization.
2. Intellectual Property
Z Genome Lab and its licensors retain all rights in ZGL OS, its software, interface, documentation, trademarks, models, symbolic transformation systems including SSM™, orchestration systems including GenCom™, GoldenPhi™, GenDetect™, and all improvements. Open-source components remain governed by their stated licenses. No implied license is granted.
3. Privacy
Our Privacy Policy explains platform processing. If you upload personal or identifiable genomic information, you confirm that you have the necessary lawful basis, notices, permissions, ethics approvals and data-transfer authority. Additional data-processing terms may be required before institutional or sensitive-data use.
4. Account Security
You are responsible for safeguarding credentials, API keys and authorized users, and for activity under your account. Shared credentials are prohibited. Notify us promptly of suspected compromise. We may revoke keys, sessions or module access to protect the service or enforce the applicable plan.
5. Billing & Refunds
Pricing shown on the Plans page is indicative until confirmed in an invoice, order form or signed agreement. The active subscription, license, add-on or pilot—and its modules, seats, API rights, limits, start date and expiry—is the scope recorded in the order and Admin entitlement system. Access begins only after approval and, where required, payment confirmation.
Renewal, taxes, payment timing, cancellation and refunds follow the accepted invoice or agreement. Unless that document states otherwise, fees already paid are non-refundable except where mandatory law requires a refund. A lapse, cancellation, refund or charge dispute may pause the associated entitlement.
6. Research Content
You retain rights you hold in submitted research content. You grant Z Genome Lab only the limited rights needed to host, process, secure, reproduce and export that content to provide the service and requested evidence artifacts. You are responsible for legality, quality, de-identification, backups and permissions. We do not claim ownership of your scientific results solely because they are processed by ZGL OS.
7. Suspension and Termination
We may suspend or terminate access for breach, non-payment, security risk, unlawful activity or expiry of an entitlement. You may stop using the service or request cancellation under the applicable order. Provisions concerning fees, intellectual property, confidentiality, disclaimers, liability and disputes survive termination where their nature requires.
8. Disclaimers and Liability
Beta, pilot and research functions may change and may contain errors. To the maximum extent permitted by law, the service and outputs are provided “as is” without warranties of clinical fitness, merchantability, non-infringement or uninterrupted availability. Z Genome Lab is not responsible for decisions made without independent review.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential loss. Z Genome Lab’s aggregate liability arising from the service will not exceed the fees paid for the affected service during the 12 months before the event, except where liability cannot legally be limited or a signed agreement states otherwise.
9. Governing Law and Contact
These Terms are governed by the laws of Algeria, without prejudice to mandatory consumer or data-protection rights that apply in another jurisdiction. The parties should first attempt good-faith resolution. Questions or legal notices may be sent to contact@zgenomelab.com.
